Developer Agreement
This Developer Agreement governs access to CXSuite's application programming interfaces ("API") and related integration tooling by a Customer, its contractors, or an approved implementation partner ("Developer", "you") for the purpose of building integrations with the CXSuite platform.
CXSuite's API is provisioned per customer engagement for enterprise and custom integrations (for example, connecting third-party ERP, SCADA, or hardware systems, as referenced on our Integrations page). We do not currently operate a public, self-service developer sign-up portal or a standing public sandbox — API credentials are issued as part of an active or trial CXSuite engagement. This Agreement is written to also cover a future self-service developer program if and when one is introduced, without requiring a new document.
1. Developer Account and API Access
API access is granted by CXSuite to a named Developer in connection with an active CXSuite subscription, trial, or an approved implementation engagement. Access is not transferable to a third party without CXSuite's prior written consent.
2. Sandbox / Trial Access
Where CXSuite provides a sandbox or test environment for integration development, that environment may contain sample or anonymised data and is not intended for live production data. CXSuite may reset or reconfigure sandbox environments without notice.
3. API Credentials and Security
Developer is responsible for the confidentiality and secure storage of API keys, tokens, and other credentials issued to it. Credentials must not be embedded in publicly accessible code, shared outside the Developer's organisation, or used by any application other than the one they were issued for. Developer must notify CXSuite promptly if it suspects a credential has been compromised, so it can be revoked and reissued.
4. Rate Limits and Usage Restrictions
API usage is subject to reasonable rate limits and quotas communicated by CXSuite for the relevant engagement, which exist to protect platform stability for all customers. Developer must not attempt to circumvent rate limits, scrape data outside the scope of its integration, or place load on the API disproportionate to its agreed use case.
5. Permitted Use
Developer may use the API solely to build and operate integrations that serve the Customer's own CXSuite deployment (or, for an approved implementation partner, the specific customer engagement it has been contracted for). All data accessed through the API remains subject to the applicable Customer's Master Service Agreement and our Privacy Policy.
6. Prohibited Use
Developer may not use the API to: build a product that duplicates or competes with CXSuite; resell API access to unrelated third parties; access or attempt to access data belonging to a customer other than the one it is engaged for; reverse engineer the underlying platform beyond what the API itself exposes; or introduce malicious code, excessive automated load, or security-testing traffic without CXSuite's prior written consent.
7. Integrations and Developer Applications
Any application, script, or connector Developer builds using the API ("Developer Application") remains Developer's own work product, but Developer Applications may not use CXSuite's name, logo, or branding in a way that implies official endorsement or partnership unless separately agreed in writing.
8. Data
Developer will process any Customer Data it accesses through the API only as instructed by the relevant Customer and solely to provide the integration, and will implement reasonable technical and organisational safeguards to protect that data in transit and at rest.
9. Intellectual Property
CXSuite and its licensors retain all rights in the API, SDKs, documentation, and the underlying platform. No licence is granted to Developer beyond the limited right to call the API for the permitted purpose described in Section 5. Developer retains ownership of the original code it writes for its Developer Application, excluding any CXSuite-provided samples, SDKs, or documentation.
10. API Changes
CXSuite may update, version, deprecate, or change API endpoints from time to time as the platform evolves. Where practical, we will provide advance notice of breaking changes to active integration users. Because API access today is engagement-based rather than a published public API, deprecation timelines will generally be coordinated directly with the affected Customer or partner.
11. Suspension
CXSuite may suspend API access where reasonably necessary to protect platform security or stability, to investigate suspected misuse, or in response to non-payment or breach of this Agreement, following notice where practicable.
12. Termination
API access under this Agreement ends automatically when the underlying CXSuite subscription, trial, or implementation engagement it was issued for ends, unless otherwise agreed in writing. Either party may terminate Developer's API access on reasonable notice for convenience, or immediately for material breach.
13. Disclaimer
The API and any associated documentation, SDKs, or sample code are provided "as is" without warranty of any kind, express or implied, to the maximum extent permitted by law, except as expressly agreed in a signed Order Form.
14. Liability
The limitation of liability terms in Section 21 of our Master Service Agreement apply equally to this Developer Agreement.
15. Confidentiality
API documentation, schemas, and any non-public technical details shared with Developer are CXSuite's confidential information and must be treated in accordance with Section 12 of our Master Service Agreement.
16. General Provisions
This Agreement is governed by the laws of India, with disputes subject to the exclusive jurisdiction of the courts having jurisdiction over Jodhpur, Rajasthan. CXSuite may update this Agreement as the API and platform evolve; material changes will be communicated to active API users where we have contact details on file.
