Program Agreement
This Program Agreement sets out the general terms that apply when an individual or organisation participates in a CXSuite program — such as a free trial, an implementation/referral partnership, or another structured program offered by Fistreet Systems Pvt. Ltd. It applies in addition to our Terms of Service and, where a program includes a paid subscription, our Master Service Agreement.
CXSuite currently offers programs on a case-by-case basis (for example, guided trials and implementation partnerships agreed directly with our team) rather than a published self-service partner portal. Specific commercial terms — such as any referral or revenue arrangement — are documented in a separate Program Addendum signed with the participant, not on this page. This Agreement establishes the general terms only.
1. Program Participation
A "Program" means any structured arrangement offered by CXSuite outside of a standard paid subscription — including trial participation, implementation partnerships, or referral relationships — that has been confirmed in writing (including email) between CXSuite and the participant ("Participant", "you"). Access to a Program does not, by itself, create any partnership, joint venture, franchise, or agency relationship between CXSuite and the Participant.
2. Trial Participation
Where CXSuite provides trial or evaluation access to the platform, such access is provided for the sole purpose of evaluating whether the platform meets Participant's business needs. Trial access is time-limited, may include reduced functionality or sample/test data, and may be modified, extended, or withdrawn by CXSuite at its discretion. Data entered during a trial may not be retained if the trial does not convert to a paid subscription — Participants should not use a trial environment as a system of record for live business data.
3. Partner / Program Account
Where a Program requires an account (for example, a partner or implementation collaborator account), Participant must provide accurate registration information and is responsible for activity conducted under that account, in line with Section 3 of our Terms of Service.
4. Usage Restrictions
Program access may not be used to: build or support a competing product; resell or sublicense access without CXSuite's prior written consent; misrepresent the nature of the relationship with CXSuite to third parties; or access modules or data outside the scope agreed for the Program.
5. Participant Responsibilities
Participant agrees to: represent the CXSuite platform accurately in any communications with prospective customers or end users; comply with applicable law, including data protection and anti-bribery/anti-corruption laws, in all Program-related activity; and promptly inform CXSuite of any complaint, security concern, or misuse it becomes aware of in connection with the Program.
6. Confidentiality
Participant will keep confidential any non-public information shared by CXSuite in connection with the Program — including product roadmaps, pricing frameworks, and implementation methodology — and will use it solely to perform its role in the Program.
7. Intellectual Property and Program Materials
Any sales, marketing, or training materials CXSuite provides for use in a Program ("Program Materials") remain the property of Fistreet Systems Pvt. Ltd. Participant is granted a limited, non-exclusive, revocable licence to use Program Materials solely for the purpose of the Program, and may not modify CXSuite branding, logos, or product names except as expressly approved in writing. This licence ends when the Program relationship ends.
8. Data
Where a Program involves Participant accessing or processing data on behalf of a customer (for example, during an implementation), Participant must handle that data in accordance with the applicable customer's instructions and our Privacy Policy, and only for the purpose of the Program.
9. Security
Participant will take reasonable steps to protect any CXSuite systems, credentials, or data it is given access to under a Program, and will notify CXSuite promptly of any suspected security incident involving that access.
10. Suspension and Termination
CXSuite may suspend or terminate a Participant's involvement in a Program at any time, with or without cause, on reasonable notice (or immediately in the case of a material breach, misuse, or legal risk). Participant may withdraw from a Program at any time by written notice to CXSuite. Termination of a Program does not automatically terminate a separate paid subscription held by the Participant, which remains governed by the applicable Order Form and our Master Service Agreement.
11. Liability
Except where a signed Program Addendum states otherwise, the limitation of liability terms in Section 21 of our Master Service Agreement apply equally to this Program Agreement.
12. General Terms
This Agreement is governed by the laws of India, with disputes subject to the exclusive jurisdiction of the courts having jurisdiction over Jodhpur, Rajasthan. CXSuite may update this Agreement from time to time; material changes will be communicated to active Participants. Sections of this Agreement are intended to be modular so that new program types can be added by way of a Program Addendum without requiring a full rewrite of this page.
